SPACs Stage a Comeback as Mega-IPOs Crowd the Public Markets

The era of the "blank-cheque company" is seeing a significant resurgence as a new wave of massive IPOs threatens to overshadow smaller players. As industry giants prepare to dominate investor headlines, Special-Purpose Acquisition Companies (SPACs) are emerging as a strategic "side entrance" for mid-sized firms.

The Rise of the Mega-IPO Wave

The global capital markets are bracing for a period of unprecedented activity driven by high-profile technology giants. SpaceX recently set a massive precedent with a record-breaking offering that valued the company at approximately $1.8 trillion. This momentum is expected to continue as artificial intelligence leaders, including Anthropic and OpenAI, have filed confidentially for US listings later this year.

This concentration of "mega-IPOs" creates a significant hurdle for smaller companies. As Michael Ashley Schulman, partner at Cerity Partners, notes, these giant names tend to soak up institutional bandwidth, analyst attention, and a disproportionate share of available capital. For companies that cannot compete with trillion-dollar valuations, the traditional IPO route may become increasingly difficult and expensive.

SPACs: A Strategic Alternative for Smaller Issuers

Unlike the traditional IPO process, which relies heavily on fluctuating market demand at the time of listing, SPACs allow private companies to merge with an already-listed shell company. This structure offers several distinct advantages for companies looking to go public in a crowded market:

Surging Deal Activity and Available Capital

After a period of volatility following the pandemic-era boom and bust, the SPAC market is showing signs of maturity and renewed strength. According to Dealogic data, global activity has surged significantly in 2026. So far this year, 44 SPAC mergers worth $36.9 billion have been announced, a sharp increase from the 33 deals worth $15 billion recorded during the same period last year.
