India's largest asset management company, SBI Mutual Fund, has received the green light from SEBI for its highly anticipated initial public offering. The massive share sale, estimated to be worth approximately Rs 13,000 crore, is expected to hit the market as early as next month.
An Offer for Sale (OFS) Structure
The upcoming IPO is structured entirely as an Offer for Sale (OFS), meaning the company will not be issuing any new shares to raise fresh capital. Instead, existing shareholders will be selling their stakes to the public. The issue involves the sale of up to 20.37 crore equity shares.
The primary sellers in this divestment are the company's joint venture partners: State Bank of India (SBI) and the Paris-based Amundi. Currently, SBI holds a dominant 61.98% stake in SBI Funds Management Ltd (SBIFML), while Amundi maintains a 36.40% holding. This move marks a significant milestone in the evolution of India's premier fund house, which was established in 1987 as the first mutual fund outside the erstwhile Unit Trust of India (UTI).

The asset management industry is currently riding a wave of high retail participation, driven by record-breaking Systematic Investment Plan (SIP) inflows and the rapid financialisation of household savings across the country.
SBI Mutual Fund's market leadership is underscored by its massive scale. As of December 2025, the fund house managed a quarterly average assets under management (QAAUM) of nearly Rs 12.5 lakh crore. This scale provides the company with a significant competitive moat as it prepares to transition into a publicly traded entity.
Joining the Ranks of Listed AMCs
Upon successful listing, SBI Funds Management will join an elite group of listed asset management companies in India. It will compete in the public markets alongside established players such as HDFC AMC, ICICI Prudential AMC, Nippon Life India Asset Management, UTI AMC, Aditya Birla Sun Life AMC, and Shriram AMC.
